Terms and Conditions of Service

  2. "Client," "You," "Your" refers to the individual or entity accessing or using our services.
  3. "Service(s)" refers to the website, MLM software development, consultation, digital marketing, and all other IT solutions provided by Foxigen IT Solutions.
  4. "Agreement" refers to these Terms and Conditions.

2. Acceptance of Terms

By accessing and using our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. If you do not agree with any part of these Terms, you must not use our services.

3. Services Provided

Foxigen IT Solutions specializes in providing comprehensive IT solutions, including but not limited to:

  1. MLM Software Development (Binary, Generation, Matrix, Autopool, Decentralized, etc.)
  2. MLM Plan Design and Consultation
  3. Website Design and Development
  4. Digital Marketing Services (SEO, Social Media, WhatsApp Marketing)
  5. Payment Gateway Integration and Automation
  6. Company Registration and Compliance Assistance
  7. Hosting, Domain, SSL, and Email Services
  8. Ongoing Support and Maintenance for developed software.

Specific details, scope, deliverables, timelines, and pricing for each service will be outlined in a separate, mutually agreed-upon project proposal or service agreement.

4. Client Responsibilities

As a Client, you agree to:

  1. Provide accurate, complete, and timely information required for the provision of Services.
  2. Cooperate with our team in a timely and efficient manner.
  3. Ensure that all content, data, and materials provided to us comply with all applicable laws and regulations.
  4. Promptly review and approve deliverables at various stages of the project as required.
  5. Make payments for services as per the agreed-upon payment schedule.

5. Payment Terms

Payment terms for all services will be clearly specified in the individual project proposal or invoice. Unless otherwise agreed:

  1. A percentage of the total project cost (e.g., 50%) is required as an upfront deposit before commencement of work.
  2. Subsequent payments will be linked to specific milestones or progress points.
  3. Final payment is due upon completion and before final deployment or handover of the Service.
  4. All fees are non-refundable unless explicitly stated otherwise in a separate agreement.
  5. Any additional services or changes to the project scope requested by the Client after the agreement will be subject to additional charges.

6. Intellectual Property

  1. Client Content: You retain ownership of all intellectual property rights in your content and data provided to us.
  2. Company Deliverables: Upon full payment, the intellectual property rights for the custom-developed software or website specifically created for you by Foxigen IT Solutions will be transferred to you, unless otherwise specified in the project agreement.
  3. Company Tools & Libraries: Foxigen IT Solutions retains all intellectual property rights to any pre-existing tools, methodologies, frameworks, or code libraries utilized in the development process. You are granted a non-exclusive, perpetual license to use these solely as part of the delivered Service.

7. Disclaimers

Our services are provided "as is" and "as available" without any warranties, express or implied. Foxigen IT Solutions does not warrant that:

  • The Service will function uninterrupted, secure, or available at any particular time or location.
  • Any errors or defects will be corrected.
  • The Service is free of viruses or other harmful components.
  • The results of using the Service will meet your requirements or expectations.

While we strive for accuracy in MLM plan calculations, the success of an MLM business depends on numerous external factors (e.g., market conditions, management, distributor efforts) beyond our control. Our consultation aims to provide a mathematically sound plan, but it does not guarantee business success.

8. Limitation of Liability

In no event shall Foxigen IT Solutions, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

9. Indemnification

You agree to defend, indemnify and hold harmless Foxigen IT Solutions and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use of the Service, or a breach of these Terms.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Dombivli, Maharashtra, India.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
